Sellupnow Terms & Conditions

Welcome to Sellupnow ("Sellupnow", "we", "us", or "our"). These Terms & Conditions ("Terms") govern your access to and use of the Sellupnow mobile application, website, and related services (collectively, the "Service"). By downloading, installing, registering for, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 13 years old to browse the Service and at least 18 years old (or the age of legal majority in your jurisdiction) to post listings, enter into transactions, or purchase any paid feature. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. We may suspend or terminate accounts that contain false information or that are used by ineligible users.
2. The marketplace
Sellupnow is an online classifieds marketplace that lets users ("Sellers") list goods and services for sale, lease, or exchange, and lets other users ("Buyers") browse those listings and contact Sellers directly. Sellupnow is not a party to the transaction between Buyers and Sellers. We do not take title to items, inspect them, verify their quality, legality, or accuracy of descriptions, or guarantee the ability of Sellers to sell or Buyers to pay. Any contract for the sale of an item is formed solely between the Buyer and the Seller.
3. Listings and content
You may only post listings or content that you have the legal right to offer. By submitting a listing, photo, video, review, message, or any other content (collectively "User Content") to the Service, you represent that the content is accurate, lawful, non-infringing, and not misleading. You grant Sellupnow a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for formatting purposes only), publish, and display your User Content within the Service for as long as the content remains on the Service. You may delete your User Content at any time; deletion may take a reasonable period to propagate.
4. Prohibited items and conduct
The following items and activities are strictly prohibited on the Service:
Weapons, ammunition, explosives, and tactical military equipment.
Illegal drugs, controlled substances, drug paraphernalia, and prescription medication.
Counterfeit, stolen, or replica goods, and items that infringe a third party's intellectual property rights.
Live animals other than where permitted by local law and our published guidelines.
Sexually explicit content, pornography, escort services, or any content involving minors.
Human remains, body parts, or human-trafficking-related services.
Hate speech, harassment, threats, doxxing, and content that promotes violence or discrimination on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
Cryptocurrencies, crypto-mining services, security tokens, pyramid or multi-level marketing schemes, and any other unregulated financial instruments.
Any item or service the sale of which is unlawful in the Buyer's or Seller's jurisdiction.
You also agree not to: (a) impersonate any person or entity; (b) attempt to circumvent fees, in-app purchase rules, or other limitations of the Service; (c) scrape, crawl, reverse-engineer, decompile, or otherwise extract data or source code from the Service except as expressly permitted by law; (d) interfere with the operation of the Service or the experience of other users; or (e) use the Service to violate any applicable law or regulation.
5. Payments, subscriptions, and refunds
Listing items on Sellupnow is free unless otherwise stated. Certain optional features — such as listing boosts, featured-ad placements, and subscription tiers — are paid. On Apple iOS devices, all digital subscriptions and consumable purchases offered inside the app are processed exclusively through Apple In-App Purchase, in accordance with the Apple Media Services Terms and Conditions. On Android, web, and other platforms, payment may be processed by Paystack, PayPal, or a similar regulated payment provider. Subscription pricing, billing cycle, and cancellation terms are disclosed at the point of purchase. Where required by Apple, subscriptions auto-renew at the end of each period unless cancelled at least 24 hours before the period ends, and can be managed or cancelled in the user's App Store account settings. Refunds for in-app purchases on iOS are handled by Apple. Refunds for non-Apple payments are at Sellupnow's discretion and subject to applicable consumer-protection law.
6. Transactions between users
You acknowledge that Sellupnow does not handle payment for the underlying goods and services that Buyers and Sellers transact for via the marketplace, except where an optional escrow or in-app payment feature is explicitly offered. Where an escrow feature is offered, the specific escrow terms shown at the point of purchase apply in addition to these Terms. Buyers and Sellers are solely responsible for verifying each other's identity, inspecting items, agreeing on price and delivery terms, and complying with applicable tax, import, and consumer protection laws.
7. Verification badges
Sellupnow may offer Sellers the option to submit identity documentation for a verification badge. A verification badge means we have received documentation that reasonably matches the Seller's account, but it is not a guarantee of quality, authenticity, or performance, and Sellupnow disclaims any liability arising from reliance on a verification badge.
8. Communications and content moderation
You agree that Sellupnow may, but is not obligated to, monitor User Content and communications for compliance with these Terms, applicable law, and the Apple App Store Review Guidelines. We may remove or restrict access to any listing, message, video, review, or account that we reasonably believe violates these Terms, harms other users, or exposes Sellupnow to legal risk. Users can report objectionable listings or abusive users at any time using the in-app "Report" function; reports are reviewed and acted on within 24 hours, and abusive users may be removed in accordance with our content-moderation policy.
9. Intellectual property
All intellectual-property rights in the Service (excluding User Content) — including the Sellupnow name, logo, app icon, designs, graphics, software, and underlying source code — are owned by Sellupnow or its licensors. You receive a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. Nothing in these Terms transfers any intellectual-property rights to you.
10. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. Sellupnow does not warrant that listings are accurate, that Sellers will deliver, that Buyers will pay, or that the Service will be free of errors or security vulnerabilities. To the extent permitted by law, all such warranties are disclaimed.
11. Limitation of liability
To the maximum extent permitted by applicable law, Sellupnow, its affiliates, officers, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Sellupnow's aggregate liability for any claim arising under these Terms is limited to the greater of (a) the amount you paid Sellupnow in the 12 months preceding the event giving rise to the claim, or (b) USD 50.
12. Indemnification
You agree to indemnify and hold harmless Sellupnow and its affiliates from any claim, demand, damages, liability, cost, or expense (including reasonable legal fees) arising out of (a) your User Content, (b) your use of the Service, (c) your transactions with other users, or (d) your breach of these Terms.
13. Termination
You may stop using the Service and delete your account at any time via the in-app "Delete Account" option in Profile > Settings. Deletion permanently removes your profile, listings, and chat history. Sellupnow may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that you have violated these Terms or applicable law, or if continued provision of the Service to you would be unlawful or commercially unreasonable.
14. Governing law and dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be resolved exclusively in the courts located in Lagos, Nigeria, except that either party may seek injunctive relief in any competent jurisdiction to protect its intellectual property rights. Nothing in this section limits any mandatory consumer-protection rights you may have under the law of your country of residence.
15. Apple-specific terms
If you obtained the Sellupnow app from the Apple App Store, the following additional terms apply between you and Sellupnow only (not between you and Apple): (a) these Terms are concluded between you and Sellupnow, and not with Apple; (b) Apple is not responsible for the app or its content; (c) Sellupnow, not Apple, is solely responsible for addressing claims about the app, including product-liability claims, claims that the app fails to conform to applicable legal requirements, and claims arising under consumer-protection or similar legislation; (d) Apple is not responsible for investigating, defending, settling, or discharging any third-party intellectual-property infringement claim relating to the app; (e) Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Effective date" above and notify you through the Service. Continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
17. Severability and entire agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be replaced with an enforceable provision that most closely reflects the original intent. These Terms (together with the Sellupnow Privacy Policy referenced inside the app) constitute the entire agreement between you and Sellupnow regarding the Service and supersede any prior agreements.
